Terms and Conditions of Sale/Service for CKMN Group LTD
These Terms and Conditions (Terms) govern the relationship between you (Customer or you) and CKMN Group LTD (Company, we, us, or our) for the supply of goods and/or services. By placing an order or engaging our services, you agree to be bound by these Terms.
1. Company Information and Definitions
1.1 The Company

1.2 Definitions
Agreement: The contract between the Company and the Customer for the sale of Goods and/or supply of Services, incorporating these Terms.
Goods: The products or physical items supplied by the Company. (If applicable).
Services: The services provided by the Company as detailed in the Order. (If applicable).
Order: The Customer's request for Goods or Services, whether submitted via website, email, or a signed quotation.
2. Basis of Contract and Order Acceptance
2.1 Formation of Contract
An Order constitutes an offer by the Customer to purchase Goods or Services in accordance with these Terms. The Order shall only be deemed accepted when the Company issues a written acceptance (e.g., an Order Confirmation), at which point and on which date the Agreement shall come into existence.
2.2 Entire Agreement
The Agreement, including these Terms, constitutes the entire agreement between the parties and supersedes all previous agreements, promises, assurances, warranties, representations, and understandings between them.
3. Goods and Services
3.1 Description
The description of the Goods or Services shall be as set out in the Company's quotation or Order Confirmation. Any samples, drawings, descriptive matter, or advertising are issued or published for the sole purpose of giving an approximate idea of the Goods or Services and shall not form part of the Agreement.
3.2 Supply of Services (If Applicable)
The Company shall use all reasonable endeavours to meet any performance dates specified in the Order, but any such dates shall be estimates only and time shall not be of the essence for the performance of the Services.
4. Price and Payment
4.1 Price
The price of the Goods and/or Services shall be the price set out in the Order or, if no price is quoted, the price set out in the Company's published price list in force as at the date of acceptance of the Order. All prices are subject to VAT (Value Added Tax) at the prevailing UK rate, where applicable.
4.2 Payment Terms
The Customer shall pay invoices in full and without deduction or set-off within [Insert Number, e.g., 30] days of the date of the invoice, unless otherwise specified in the Order.
4.3 Late Payment
If the Customer fails to make any payment due to the Company by the due date for payment, the Company reserves the right to charge interest on the overdue amount at a rate of 4% per annum above the Bank of England's base rate from time to time, or the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998, whichever is higher. The Company may also suspend the provision of any further Goods or Services until payment has been made in full.
5. Delivery and Risk (If Goods are supplied)
5.1 Delivery Location
The Company shall deliver the Goods to the location set out in the Order (Delivery Location).
5.2 Delivery Date
Any dates quoted for delivery are approximate only, and the time of delivery is not of the essence. The Company shall not be liable for any delay in delivery of the Goods.
5.3 Risk and Title
The risk in the Goods shall pass to the Customer on completion of delivery at the Delivery Location. Title to the Goods shall not pass to the Customer until the Company receives payment in full (in cash or cleared funds) for the Goods and any other goods or services that the Company has supplied to the Customer.
6. Cancellation, Returns, and Refunds
6.1 Cancellation by Customer
Services: Orders for Services may be cancelled by the Customer in writing, but the Customer may be required to pay for any work completed and non-refundable costs incurred by the Company up to the date of cancellation.
Goods (Consumer): If you are a consumer and you purchase Goods online or by phone (distance selling), you generally have a 14-day right to cancel from the day after you receive the Goods under the Consumer Contracts Regulations 2013. You must return the Goods to us within 14 days of cancelling.
Goods (Business): Business-to-business (B2B) sales are final, and cancellation is at the sole discretion of the Company and may be subject to a restocking or cancellation fee.
6.2 Faulty Goods or Services (Consumer)
As a consumer, you have legal rights under the Consumer Rights Act 2015. The Goods must be of satisfactory quality, fit for purpose, and match the description. The Services must be performed with reasonable care and skill. Nothing in these Terms affects your statutory rights.
7. Intellectual Property Rights
7.1 Ownership
All Intellectual Property Rights (including, but not limited to, copyright, trademarks, designs, and patents) in or arising out of or in connection with the Goods or Services (other than IP Rights in any materials provided by the Customer) shall be owned by the Company.
7.2 Customer-Provided Materials
The Customer warrants that any materials, data, or information provided by them to the Company will not infringe the Intellectual Property Rights of any third party. The Customer agrees to indemnify the Company against all losses arising from any such infringement claim.
8. Limitation of Liability
8.1 Exclusions
Nothing in these Terms shall limit or exclude the Company's liability for:
Death or personal injury caused by its negligence.
Fraud or fraudulent misrepresentation.
Breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).
Any matter in respect of which it would be unlawful for the Company to exclude or restrict liability.
8.2 Limitation
Subject to clause 8.1, the Company’s total liability to the Customer in respect of all other losses arising under or in connection with the Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall in no circumstances exceed the total value of the Order to which the claim relates.
9. Data Protection and Confidentiality
9.1 Data Protection
Both parties will comply with all applicable requirements of the data protection legislation, including the UK General Data Protection Regulation (UK GDPR). The Company's Privacy Policy details how we collect, store, and use your personal data and forms part of this Agreement.
9.2 Confidentiality
Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients, or suppliers of the other party, except as permitted by law.
10. Governing Law and Jurisdiction
10.1 Governing Law
This Agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
10.2 Jurisdiction
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Agreement or its subject matter or formation.
1. GENERAL
CKMN Group together with any group / subsidiary companies/brands (“we” “us” “our”) are committed to protecting and respecting your privacy. For the purposes of data protection legislation, we are the data controller and we will process your personal data in accordance with the General Data Protection Regulation (EU) 2016/679 and national laws which relate to the processing of personal data. Please read the following carefully to understand our views and practices regarding your personal data and how we will treat it.
2. VISITORS TO OUR WEBSITE
2.1 We may collect and process personal data about you in the following circumstances:
2.1.1 when you complete forms on our website (“Site”). This includes your name, address, email and telephone number, which is provided at the time of registering to use our Site, where you ask us to contact you about our goods or services, subscribe to our mailing list, or subscribe/request our goods and services;
2.1.2 whenever you provide information to us when reporting a problem with our Site, making a complaint, making an enquiry or contacting us for any other reason. If you contact us, we may keep a record of that correspondence;
2.1.3 details of your visits to our Site including, but not limited to, traffic data, location data, weblogs and other communication data, whether this is required for our own billing purposes or otherwise, and the resources that you access (see section 2.2.2 on Cookies below); and
2.1.4 whenever you disclose your information to us, or we collect information from you in any other way, through our Site.
2.2 We may also collect data in the following ways:
IP Address
2.2.1 We may collect information about your device, including where available your Internet Protocol address, for reasons of fraud protection. We may also collect information about your device’s operating system and browser type, for system administration and to report aggregate information to our advertisers. This is statistical data about our users' browsing actions and patterns and does not identify any individual.
Cookies
2.2.2 Our Site uses cookies and similar technology to distinguish you from other users of our Site. This helps us to provide you with a good experience when you browse our Site and also allows us to improve our Site. For detailed information on the cookies we use and the purposes for which we use them see our Cookie Policy.
2.3 We may use your personal data for our legitimate interests in order to:
2.3.1 provide you with information, or services that you requested from us;
2.3.2 allow you to participate in interactive features of our Site, when you choose to do so;
2.3.3 ensure that content from our Site is presented in the most effective manner for you and for your device;
2.3.4 improve our Site and services;
2.3.5 process and deal with any complaints or enquiries made by you; and
2.3.6 contact you for marketing purposes where you have signed up for these (see section 6 for further details).

Our Site may, from time to time, contain links to and from the websites of third parties. Please note that if you follow a link to any of these websites, such websites will apply different terms to the collection and privacy of your personal data and we do not accept any responsibility or liability for these policies. When you leave our Site, we encourage you to read the privacy notice/policy of every website you visit.
3. CUSTOMERS
3.1 We will collect details such as your name, address, phone number and email address when you order goods or services from us either via our Site or linked social media sites / other third party partner sites. We will use this information to process your order and comply with our contractual obligations.
3.2 In order to perform our contract with you, we may also need to share personal data with third parties such as payment providers and postal service organisations to assist in the delivery of goods or services you have ordered; this could include EDI partners, third party couriers, or warranty providers.
3.3 We may also advertise your feedback on our website and marketing materials (subject to obtaining your prior consent where necessary);
3.4 We will retain your information as long as we require this to provide you with the goods or services ordered from us and for a period of 6 years afterwards. Where you have subscribed to receive marketing correspondence from us we will keep your personal data for the period of time described in section 6 below.
4. SUPPLIERS
We will collect details such as your employee names, telephone numbers and email addresses in order to contact you about goods or services ordered with you, to place further orders and to pay you for the goods and/or services supplied. We will keep the personal data for 6 years further to being provided with the goods/services.
5. IF YOU FAIL TO PROVIDE PERSONAL DATA
Where we need to collect personal data by law, or under the terms of a contract we have with you and you fail to provide the data when requested, we may not be able to perform the contract we have or are trying to enter into with you (for example to provide you with our goods or services). In this case, we may have to cancel a product or service you have with us but we will notify you if this is the case at the time.
6. MARKETING
6.1 In addition to the uses described in sections 2-4 above, where you indicate you would like to receive marketing correspondence from us, subscribe to our mailing lists or newsletters, enter into any of our competitions or provide us with your details at networking events, we may use your personal data for our legitimate interests in order to provide you with details about our goods, services, business updates and events, which we think may be of interest.
6.2 You have the right to opt-out of receiving the information detailed in section 6.1 at any time. To opt-out of receiving such information you can:
6.2.1 tick the relevant box situated in the form on which we collect your information;
6.2.2 clicking the unsubscribe button contained in any such communication received; or
6.2.3 email us at webmaster@ckmngroup.com
6.3 Where you have subscribed to receive marketing correspondence from us we will keep personal data 3 years from when you last interacted with us.
6.4 From time to time we may market on behalf of other companies, for example by adding banners to our website pages. Clicking on these links will direct you to a third-party site, where you should consult their privacy policy. We will not share your personal data with any third parties without your prior consent.
7. MONITORING AND RECORDING
We may monitor and record communications with you (such as telephone communications and emails) for the purpose of training, fraud prevention and compliance. We also have CCTV cameras installed in our premises for the purpose of crime prevention and for health and safety reasons. 8. AUTOMATED PROCESSING
8.1 We may occasionally consult with third party marketing organisations who use automated processing of anonymised personal data to make recommendations on economic or predictable consumer purchasing behaviours. We do not make decisions which affect an individual based purely on automated processing activities.
8.2 We occasionally carry out a credit checks on customers:
8.2.1 so that we can make credit decisions about you; and
8.2.2 to prevent fraud and money laundering.
8.3 Our search may be recorded on the files of the credit reference agency.
8.4 If further to undertaking a credit check you receive a low credit score, we reserve the right not to supply you with goods or services on credit and/or require upfront payment for the goods or services you wish to purchase. In this case a member of our team will notify you.
8.5 If you provide false or inaccurate information and we suspect fraud, we will record this. if you want to see your credit file, please contact our Customer Services team who will provide you with contact details for the Credit Agency used.
9. LEGAL BASIS FOR PROCESSING YOUR PERSONAL DATA
9.1 We will only use your personal data where the law allows us to. Most commonly, we will use your personal data in the following circumstances:
9.1.1 for performance of a contract we enter into with you;
9.1.2 where necessary for compliance with a legal or regulatory obligation we are subject to;
9.1.3 where necessary to protect your vital interests; and
9.1.4 for our legitimate interests (as described within this policy) and your interests and fundamental rights do not override these interests.
9.2 CKMN Group explicitly rely on a basis of legitimate interests when processing data in the following ways. This basis is balanced against your rights and interests and does not override your right to object.
9.2.1 CKMN Group may supply email addresses to fulfilment partners and couriers in order to improve the service of package delivery.
9.2.2 CKMN Group may monitor opening of marketing emails in order to improve the service of supplying marketing communications.
9.2.3 CKMN Group may contact customers with details of goods that the customer prepared for purchase where the purchase did not complete successfully in order to improve the service of purchasing.
10. DISCLOSURE OF PERSONAL DATA TO THIRD PARTIES
10.1 In addition to the third parties mentioned above, we may disclose your information to third parties for our legitimate interests as follows:
10.1.1 to staff members in order to facilitate the provision of goods or services to you;
10.1.2 to our affiliated entities to support internal administration;
10.1.3 IT software providers that host our website and store data on our behalf;
10.1.4 professional advisers including consultants, lawyers, bankers and insurers who provide us with consultancy, banking, legal, insurance and accounting services;
10.1.5 HM Revenue and Customs, regulators and other authorities who require reporting of processing activities in certain circumstances; and
10.1.6 third parties who we may choose to sell, transfer or merge parts of our business or assets. Alternatively, we may seek to acquire other business or merge with them. If a change happens to our business then the new owners my use your personal data in the same way as set out in this privacy policy.
10.2 We may disclose personal data to the police, regulatory bodies, legal advisors or similar third parties where we are under a legal duty to disclose or share personal data in order to comply with any legal obligation, or in order to enforce or apply our website terms and conditions and other agreements; or to protect our rights, property, or safety of our customers, or others. This includes exchanging information with other companies and organisations for the purposes of fraud protection and credit risk reduction.
10.3 We will not sell or distribute personal data to other organisations without your approval.
11. CROSS-BORDER DATA TRANSFERS
11.1 Where permitted by applicable law, we may transfer your personal data to the United States and other jurisdictions outside the European Economic Area (‘EEA’) for the purposes set out in this privacy policy. We have implemented standard contractual clauses approved by the European Commission with those organisations along with using companies who are participants in the EU-US Privacy Shield.
12. DATA SECURITY
12.1 Where we have given you (or where you have chosen) a password which enables you to access certain parts of our Site, you are responsible for keeping this password confidential. We ask you not to share a password with anyone.
12.2 Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your information transmitted to our Site; any transmission is at your own risk.
12.3 Information you provide to us is shared on our secure servers. We have implemented appropriate physical, technical and organisational measures designed to secure your information against accidental loss and unauthorised access, use, alteration or disclosure. In addition, we limit access to personal data to those employees, agents, contractors and other third parties that have a legitimate business need for such access.
13. ACCESS TO, UPDATING, DELETING AND RESTRICTING USE OF PERSONAL DATA
13.1 It is important that the personal data we hold about you is accurate and current. Please keep us informed if the personal data we hold about you changes.
13.2 Data protection legislation gives you the right to object to the processing of your personal data in certain circumstances or withdraw your consent to the processing of your personal data where this has been provided. You also have the right to access information held about you and for this to be provided in an intelligible form. If you would like a copy of some or all of your personal information, please send an email to Webmaster@ckmngroup.com. In certain circumstances we reserve the right to charge a reasonable fee to comply with your request.
13.3 You can also ask us to undertake the following:
13.3.1 update or amend your personal data if you feel this is inaccurate;
13.3.2 remove your personal data from our database entirely;
13.3.3 send you copies of your personal data in a commonly used format and transfer your information to another entity where you have supplied this to us, and we process this electronically with your consent or where necessary for the performance of a contract; or
13.3.4 restrict the use of your personal data.
13.4 We may request specific information from you to help us confirm your identity and your right to access, and to provide you with the personal data that we hold about you or make your requested changes. Data protection legislation may allow or require us to refuse to provide you with access to some or all the personal data that we hold about you or to comply with any requests made in accordance with your rights referred to above. If we cannot provide you with access to your personal data, or process any other request we receive, we will inform you of the reasons why, subject to any legal or regulatory restrictions.

14. RIGHT TO WITHDRAW CONSENT

15. CHANGES TO OUR PRIVACY POLICY
We reserve the right to update this privacy policy at any time, and any changes we make to our privacy policy will be posted on this page. CKMN Group LTD (“CKMN Group”) and our group companies (“we”, “us”, “our”) are committed to protecting the privacy and security of your personal information. ABOUT THE INFORMATION WE COLLECT AND HOLD
What information
Personal data, or personal information, means any information about an individual from which that person can be identified. This does not include data where the identity has been removed (anonymous data).
There are “special categories” of more sensitive personal data which require a higher level of protection, these include racial or ethnic origin, political opinions, religious beliefs or other beliefs of a similar nature, trade union membership, physical or mental health or condition, sex life and sexual orientation and generic data and biometric data.

- Your date of birth (but only if provided by you, as we do not collect this information during the recruitment process);
- Details of your qualifications, experience, employment history (including job titles, salary and working hours), skills, languages and interests;
- Details of your referees;
- Any results of any test including psychometric tests, technical exercises, group exercises, written exercises or other skills test included in the recruitment process;
- CCTV footage of you;
- Information about your previous academic and/or employment history, including details of any conduct, grievance or performance issues, appraisals, time and attendance, from references obtained about you from previous employers and/or education providers*;
- Information regarding your academic and (if applicable) professional qualifications*;
- For certain positions (we will notify you if this applies), additional information checks, for example credit history*;
- For certain positions (we will notify you if this applies), information regarding your criminal record, in a criminal records certificate (CRC) or enhanced criminal records certificate (ECRC)*;
- Your nationality and immigration status and information from related documents, such as your passport or other identification and immigration information*;
Information relating to your health, including any medical condition, health and sickness records or reasonable adjustments required for the application and interview process*;
- A copy of your passport or driving licence*;
If you contact us, we may keep a record of that correspondence.
You are required (by law or in order to enter into your contract of employment) to provide the categories of information marked ‘*’ above to us to enable us to verify your right to work and suitability for the position.
If you fail to provide information when requested, which is necessary for us to consider your application, we will not be able to process your application successfully.
HOW WE COLLECT THE INFORMATION
We may collect this information from you through the application and recruitment process, either directly or sometimes via an employment agency or job board, or from third parties including your referees (details of whom you will have provided), your former employers, your education provider, any relevant professional body, the Disclosure and Barring Service (DBS) or the Home Office.
HOW WE WILL USE THE INFORMATION ABOUT YOU
- We will typically collect information from you in the following situations:
- where you have given your consent;
- where it is necessary for the performance of a contract;
- to comply with a legal obligation;
- to comply or evidence compliance with other regulatory requirements, such as those required by the Financial Conduct Authority);
- where processing your data is in your vital interests and we may be required to provide information to protect your life;
- for reasons of substantial public interest;
- where we have a legitimate interest to process your information, but only if these are not overridden by your interests, rights or freedoms;
- because it is necessary for carrying out obligations or exercising rights in employment law.
Some of the above grounds may overlap and there may be several grounds that justify our use of your personal information.
We may also use your personal information in the following rare situations:
-where we need to protect your interests (or someone else’s interests). For example, if you became seriously unwell or had an accident during the recruitment process we may need to provide a hospital with personal information about you; or
-where it is needed in the public interest or for official purposes.
The situations in which we will process your personal information in accordance with the lawful bases set out above may include:
making a decision about your recruitment or appointment;
determining the terms on which you work for us;
checking you are legally entitled to work in the country specified, for example in the UK or the US;
assessing qualifications for a particular job or task;
dealing with legal disputes involving you;
ascertaining your fitness or suitability to carry out the role;
complying with health and safety obligations; and
complying with any applicable safeguarding requirements.
We seek to ensure that our information collection and processing is always proportionate. We will notify you of any changes to information we collect or to the purposes for which we collect and process it.
HOW WE MAY SHARE THE INFORMATION
We may also need to share some of the above categories of personal information with other parties, such as HR consultants and professional advisers. Usually, information will be anonymised but this may not always be possible. The recipient of the information will be bound by confidentiality obligations. We may also be required to share some personal information as required to comply with the law.
SENSITIVE PERSONAL INFORMATION
Special categories of data, which are described above, require additional levels of protection. We need to have further justification for collecting, storing and using this type of personal information. We may process special categories of personal information in the following circumstances:
in limited circumstances, with your explicit consent;
where we need to carry out our legal obligations;
where it is needed in the public interest, e.g. for equal opportunities monitoring;
where it is needed to assess your working capacity on health grounds, subject to appropriate confidentiality safeguards; and
where it is necessary for establishing, exercising or defending legal claims.
WHERE INFORMATION MAY BE HELD
Information may be held by us, third party agencies, service providers, representatives and agents as described above. We require these third party suppliers or recipients of personal information to guarantee the same level of protection as provided by us. Information may be transferred internationally to other countries around the world, for the reasons described above.
For example, if you are based in the UK/EU we may transfer the personal information we collect about you outside of the UK/EU and, we will make sure one of the following safeguards is in place:
ensure there is an adequacy decision by the European Commission in respect of those countries in place; and/or
ensure that your personal information receives an adequate level of protection and your information is treated by third parties in a way that is consistent with and which respects UK and EU laws on data protection by putting in place a Data Processing or Data Sharing Agreement.
Where possible, the same applies if you are based in another CKMN Group territory, where we comply with the requirements necessary to keep your data safe.
HOW LONG WE KEEP YOUR INFORMATION
We keep the personal information that we obtain about you during the recruitment process for a period of up to twelve months but, in any event, for no longer than is necessary for the purposes for which it is processed, including for the purposes of satisfying any legal, accounting or reporting requirements. How long we keep your information will depend on whether your application is successful and you become employed by us, the nature of the information concerned and the purposes for which it is processed.
We will keep recruitment information (including interview notes) for no longer than is reasonable, taking into account the limitation periods for potential claims such as race or sex discrimination (as extended to take account of early conciliation), after which they will be destroyed. If there is a clear business reason for keeping recruitment records for longer than the recruitment period, we may do so but will first consider whether the records can be pseudonymised, and the longer period for which they will be kept.
If your application is unsuccessful, we will keep your information for the purpose of establishing, exercising and/or defending any legal claims, in accordance with our legitimate interests. In addition, if we have your permission we will keep your information on our files so that you can be considered for other vacancies. You can request us to remove your information from our talent pool at any time by contacting us at: careers@CKMN Groupnet.com.
If your application is successful, we will keep only the recruitment information that is necessary in relation to your employment.
YOUR RIGHT TO OBJECT TO US PROCESSING YOUR INFORMATION
Where our processing of your information is based solely on our legitimate interests (or those of a third party), you have the right to object to that processing if you give us specific reasons why you are objecting, which are based on your particular situation. If you object, we can no longer process your information unless we can demonstrate legitimate grounds for the processing, which override your interests, rights and freedoms, or the processing is for the establishment, exercise or defence of legal claims.

YOUR RIGHTS TO CORRECT AND ACCESS YOUR INFORMATION AND TO ASK FOR IT TO BE ERASED
Please contact our Data Protection Officer (DPO), as above, if (in accordance with applicable law) you would like to correct or request access to information that we hold relating to you or if you have any questions about this notice. You also have the right to ask our Data Protection Officer for some but not all of the information we hold and process to be erased (the ‘right to be forgotten’) in certain circumstances. Our Data Protection Officer will provide you with further information about the right to be forgotten, if you ask for it.
KEEPING YOUR PERSONAL INFORMATION SECURE
We have appropriate security measures in place to prevent personal information from being accidentally lost, or used or accessed in an unauthorised way. We limit access to your personal information to those who have a genuine business need to know it. Those processing your information will do so only in an authorised manner and are subject to a duty of confidentiality.
We also have procedures in place to deal with any suspected data security breach. We will notify you and any applicable regulator of a suspected data security breach where we are legally required to do so.
Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your data transmitted through any online means, therefore any transmission remains at your own risk.
